1. Acceptance of Terms

By accessing or using BuddyHuddle ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.

2. Description of Service

BuddyHuddle is a social planning platform that enables users to create groups, organize huddles (events), manage tasks, maintain checklists, and track expenses. The Service is provided "as is" and "as available."

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason we deem necessary.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, or harm other users
• Impersonate any person or entity or falsely state your affiliation with any person or entity
• Upload or transmit viruses, malware, or any other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Collect or harvest information about other users without their consent
• Use automated systems to access the Service without permission
• Violate any applicable local, state, national, or international law

5. User Content

5.1 Ownership

You retain ownership of all content you create, upload, or post on the Service ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that you have all necessary rights to post User Content and that it does not violate any third-party rights.

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine is harmful, offensive, or inappropriate, without prior notice.

6. Subscription and Payment

6.1 Free Tier

The Service offers a free tier with limited features. Free tier users are subject to usage limits as described in our Pricing page.

6.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you authorize us to charge your payment method automatically until you cancel.

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are provided at our discretion and in accordance with applicable law.

6.4 Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price changes. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by BuddyHuddle and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDDYHUDDLE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless BuddyHuddle and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

11. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
